1. Acceptance of Terms

By accessing or using Rudder (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. Rudder is a classifieds and lead generation platform designed to connect university alumni in Texas for sharing opportunities including jobs, housing, services, and other listings.

2. Eligibility

You must be at least 18 years old to use Rudder. By creating an account, you represent and warrant that you are of legal age to form a binding contract. While Rudder is designed for university alumni, we welcome all users who wish to participate in our community in good faith.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Notify us immediately of any unauthorized use of your account
  • Not share your account with others or allow others to access your account

4. Listings and Content

4.1 Your Responsibilities

When posting listings or submitting leads, you agree to:

  • Provide accurate and truthful information
  • Not post misleading, fraudulent, or deceptive content
  • Comply with all applicable laws and regulations
  • Not infringe on intellectual property rights of others
  • Not post content that is offensive, discriminatory, or harassing
  • Not post spam or duplicate listings

4.2 Content Ownership

You retain ownership of the content you post. By posting content on Rudder, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

4.3 Content Moderation

We reserve the right to review, edit, or remove any content that violates these Terms or that we deem inappropriate. However, we are not obligated to monitor all content and do not assume responsibility for user-generated content.

5. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose
  • Impersonate any person or entity
  • Harass, threaten, or harm other users
  • Collect or harvest personal information from other users
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform's operation
  • Use automated systems (bots, scrapers) without our permission
  • Post content containing viruses or malicious code
  • Engage in price fixing, bid rigging, or other anti-competitive behavior

6. Transactions and Interactions

Rudder is a platform that facilitates connections between users. We are not a party to any transactions or agreements between users. You are solely responsible for:

  • Evaluating the accuracy and reliability of listings and leads
  • Conducting due diligence before entering into any transaction
  • Complying with applicable laws regarding employment, housing, and other transactions
  • Resolving disputes with other users

We strongly recommend meeting in public places and taking appropriate safety precautions when interacting with other users.

7. Intellectual Property

The Platform, including its design, features, functionality, and content (excluding user-generated content), is owned by Rudder and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • The results obtained from using the Platform will be accurate or reliable
  • Any errors or defects will be corrected
  • User-generated content is accurate, reliable, or trustworthy

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUDDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Rudder, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content posted on the Platform

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Platform will immediately cease
  • We may delete your account and content
  • Sections of these Terms that by their nature should survive will remain in effect

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a new “Last updated” date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

14. Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Entire Agreement: These Terms constitute the entire agreement between you and Rudder regarding the Platform and supersede any prior agreements.
